Agreement to these Terms

These Terms of Use ("Terms") govern your access to and use of sadair.ai, its related pages and media, and the information, research, materials, and features made available through them (collectively, the "Site"). The Site is operated by SADAIR AI, Inc., a Delaware corporation ("SADAIR," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Scope of the Site

The Site provides information about SADAIR AI, Inc., our research direction, company, careers, and research prototypes. It does not currently offer a public AI product, user account, paid service, or consumer application. Future products, APIs, enterprise programs, model access, or other services may be governed by separate agreements or supplemental terms. If separate terms conflict with these Terms, the separate terms control for the relevant service.

Limited permission to use the Site

Subject to these Terms, SADAIR AI, Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site for lawful personal, informational, research, or internal business purposes. This permission does not transfer any ownership rights and may be withdrawn at any time.

Acceptable use

You may not, and may not assist others to:

use the Site in violation of law, regulation, sanctions, or third-party rights;
interfere with, disrupt, overload, probe, scan, or test the Site or its security;
introduce malware or attempt unauthorized access to systems, data, or accounts;
circumvent access controls, rate limits, robots directives, or protective measures;
scrape, harvest, extract, index, or reproduce Site content through automated means, except with our written permission or as expressly permitted by applicable law;
reverse engineer or attempt to derive source code except where the restriction is prohibited by law;
misrepresent affiliation with or endorsement by SADAIR AI, Inc.; or
use the Site or its content to create a competing dataset, model, service, or commercial offering.

Research materials

Research papers, demonstrations, benchmarks, diagrams, and roadmaps on the Site describe SADAIR's research and development. Reported results apply to the models, devices, configurations, and measurement conditions identified with them. Future work, research directions, and design goals are identified as such.

Research results do not by themselves mean that a product, feature, model, API, SDK, or service is generally available. Availability and any applicable terms will be stated separately. Nothing on the Site is a promise to release any product, feature, model, or service on any timetable.

No professional advice or reliance

Site content is provided for general informational purposes only. It is not legal, medical, financial, investment, security, compliance, or other professional advice. You are responsible for independently evaluating the accuracy, completeness, and suitability of Site content before relying on it or making decisions. Forward-looking statements involve risks and uncertainties, and actual events may differ materially.

Ownership and intellectual property

The Site and its content, including its design, text, research, graphics, photographs, video, audio, software, code, trademarks, logos, and other materials, are owned by or licensed to SADAIR AI, Inc. and are protected by intellectual property and other laws. Except for the limited permission above, no right or license is granted by implication, estoppel, or otherwise. You may not remove proprietary notices or use SADAIR names, marks, or branding without prior written permission.

Communications and feedback

If you contact us, you represent that you have the right to provide the information and materials you send. Do not send confidential business information unless we have agreed in writing to receive it confidentially. Receiving a message does not create an advisory, fiduciary, employment, investment, partnership, or other special relationship.

If you voluntarily provide ideas or suggestions specifically as feedback, you grant SADAIR AI, Inc. a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. This feedback license does not apply to job applications, business proposals, or personal information, which are handled under the Privacy Policy and any applicable agreement.

Third-party services and links

The Site may link to third-party websites, publications, platforms, or services. We do not control or endorse them and are not responsible for their content, availability, security, or practices. Your use of a third-party service is at your own risk and subject to that third party's terms and policies.

Intellectual property concerns

If you believe material on the Site infringes your intellectual property rights, please send us a notice identifying the protected work, the material at issue and its location, your contact information, and the basis for your claim. We may remove or restrict material and may request additional information where appropriate.

Changes, suspension, and termination

We may change, suspend, restrict, or discontinue any part of the Site at any time. We may also restrict or terminate your access if we reasonably believe you have violated these Terms, created risk or harm, or if necessary to comply with law or protect the Site. The provisions that by their nature should survive will continue after termination, including provisions concerning ownership, disclaimers, liability, indemnity, and disputes.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. SADAIR AI, INC. DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SADAIR AI, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INVESTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SADAIR AI, Inc. and its affiliates, officers, directors, employees, agents, investors, licensors, and service providers from claims, liabilities, damages, losses, and reasonable expenses, including attorneys' fees, arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person's rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. To the extent permitted by law, any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware, and you and SADAIR AI, Inc. consent to personal jurisdiction and venue there. Nothing in these Terms limits rights you may have under mandatory consumer protection laws in your place of residence.

General terms

These Terms and the Privacy Policy are the entire agreement between you and SADAIR AI, Inc. concerning the Site. If a provision is found unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a financing, reorganization, merger, acquisition, sale of assets, or by operation of law. There are no third-party beneficiaries.

Changes to these Terms

We may update these Terms to reflect changes to the Site, our practices, or applicable law. The revised Terms become effective when posted unless a later date is stated. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms. If you do not agree to an update, you must stop using the Site.
